{"id":839,"date":"2020-04-01T12:35:27","date_gmt":"2020-04-01T12:35:27","guid":{"rendered":"https:\/\/ventureasy.com\/blog\/?p=839"},"modified":"2020-04-07T11:10:18","modified_gmt":"2020-04-07T11:10:18","slug":"companies-fresh-start-scheme-2020","status":"publish","type":"post","link":"https:\/\/ventureasy.com\/blog\/companies-fresh-start-scheme-2020\/","title":{"rendered":"Companies Fresh Start Scheme, 2020 (CFSS-2020)"},"content":{"rendered":"\n<div class=\"wp-block-media-text alignwide has-media-on-the-right\"><figure class=\"wp-block-media-text__media\"><img loading=\"lazy\" decoding=\"async\" width=\"1024\" height=\"1024\" src=\"https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-1024x1024.png\" alt=\"\" class=\"wp-image-843\" srcset=\"https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-1024x1024.png 1024w, https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-300x300.png 300w, https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-150x150.png 150w, https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-768x768.png 768w, https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020-100x100.png 100w, https:\/\/ventureasy.com\/blog\/wp-content\/uploads\/2020\/04\/Fresh-Start-Scheme-2020.png 1080w\" sizes=\"auto, (max-width: 767px) 89vw, (max-width: 1000px) 54vw, (max-width: 1071px) 543px, 580px\" \/><\/figure><div class=\"wp-block-media-text__content\">\n<p>The Ministry of Corporate Affairs on 30<sup>th<\/sup> March 2020 issued a circular regarding Companies Fresh Start Scheme 2020. <\/p>\n\n\n\n<p><strong>This is opportunity to all defaulted companies to file the all belated documents as fresh started documents without any additional fees<\/strong>. <\/p>\n<\/div><\/div>\n\n\n\n<!--more-->\n\n\n\n<h4 class=\"wp-block-heading\"><strong>OBJECTIVE:<\/strong><\/h4>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>Granting\nCondonation of additional fees:<\/strong> It is a one-time\nopportunity which will enable stakeholders in filing their pending compliances\nincluding Annual Return and Financial statement and various other statements,\ndocuments and returns to be filed with the Ministry of Corporate Affairs (MCA),\n<strong>without being subject to additional fees on account of any delay.<\/strong><\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>Granting\nImmunity:<\/strong> To grant immunity from prosecution or\nproceeding or imposing a penalty on account of delay associated with filing of\nbelated documents (and not any other consequential proceeding).<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>Opportunity\nto inactive companies:<\/strong> To give an opportunity to\ninactive companies to get their companies declared as \u2018dormant company\u2019 under section\n455 of the Companies Act, by filing a simple application at normal fees, which\nwould help these inactive companies to remain on the register of the Companies\nwith minimal compliance requirement.<\/li><\/ul>\n\n\n\n<p><strong>DURATION: <\/strong>The Companies Fresh Start Scheme shall come into force on the 1<sup>st<\/sup> of April 2020 till the 30<sup>th<\/sup> of September 2020.<\/p>\n\n\n\n<p><strong>NON-APPLICABILITY: <\/strong>The Fresh Start Scheme shall not apply in the following cases:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>To\ncompanies against which action for final notice for striking off the name u\/s\n248 of the Act has already been initiated by the designated authority.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>Where any\napplication has already been filed by the Companies for striking off the name\nof the Company from the registrar of Companies.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>To\nCompanies which have amalgamated under a scheme of arrangement or compromise\nunder the Act.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>Where\napplications have already been filed for maintaining dormant status under\nsection 455 of the Act before the scheme.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>To\nvarnishing Companies.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>Where any\nincrease in authorized capital (Form SH-7) and charge related documents (Form\nCH-1. CH-4, CH-8, CH-9) are involved.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>The\nimmunity provided shall not be applicable in the matter of any appeal pending\nbefore the court of law and in case of management dispute of the Company before\nany court of law or tribunal.<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>The\nimmunity shall not be provided in case any court has ordered conviction in any\nmatter or an order imposing any penalty has been passed by an adjudicating\nauthority under the Act.<\/li><\/ul>\n\n\n\n<p><strong>PROCEDURE:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The defaulting\ncompany shall file their overdue documents\/returns\/other statements as well as statutory\nAnnual Filing documents in respective prescribed e-Forms by paying the normal\nstatutory filing fee (without any additional fee)&nbsp;within the immunity\nperiod.<\/li><li>The defaulting\nCompanies shall file the&nbsp;<strong>Form CFSB-2020&nbsp;<\/strong>after making all\ndefault good and after all the filings are taken on record or approved by the\nDesignated authority as the case may. This form can be filed even after closure\nof the Scheme but not after the expiry of six months from the date of closure\nof the Scheme. The is&nbsp;<strong>no filing fees<\/strong>&nbsp;of Form CFSB-2020.<\/li><li>The Form\nCFSB-2020 is entirely self-declaration-based form. After submission of Form\nCFSB-2020 and on the basis of self-declaration made by Director, the ROC will\nissue Immunity Certificate.<\/li><\/ul>\n\n\n\n<p><strong>SCHEME FOR\nINACTIVE COMPANIES: <\/strong>The defaulting inactive companies while filing the pending documents\nunder CFSS 2020, can simultaneously either: <\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Apply to get themselves declared as dormant\nCompany under section 455 of the Companies Act 2013 by filing e-form MSC-1 at a\nnormal fee on said form or;<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>Apply for striking off the name of the Company\nby filing e-form STK-2<\/li><\/ul>\n\n\n\n<p>The Companies Fresh Start Scheme is in furtherance to the special measures under Companies Act, 2013 (CA-2013) and Limited Liability Partnership Act, 2008 in view of the COVID-19 outbreak, to provide <a href=\"https:\/\/ventureasy.com\/blog\/covid-19-relief-measures-by-the-mca\/\">relief <\/a>to the law abiding Companies and Limited Liability Partnerships. <\/p>\n\n\n\n<p>Official Circular :  <a href=\"http:\/\/www.mca.gov.in\/Ministry\/pdf\/Circular12_30032020.pdf\">http:\/\/www.mca.gov.in\/Ministry\/pdf\/Circular12_30032020.pdf<\/a> <\/p>\n\n\n\n<p>Please feel free to contact us at <a href=\"mailto:hello@ventureasy.com\">hello@ventureasy.com<\/a> if you would like to complete your past or current filings with the MCA.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The Ministry of Corporate Affairs on 30th March 2020 issued a circular regarding Companies Fresh Start Scheme 2020.
